1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vebilisim Teknoloji A.S. ("Company," "we," "us," or "our"), governing your access to and use of the NOIR mobile application ("App" or "Service").

By creating an account, accessing, or using NOIR, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using the Service immediately.

These Terms are provided in English. In the event of any conflict between translated versions and the English version, the English version shall prevail.

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification and/or email. Continued use after the effective date constitutes acceptance.

2. Eligibility and Account Registration

2.1 Age Requirement

You must be at least 13 years old to use NOIR.

Users between 13 and 18 require parental or guardian consent.
Users in the European Economic Area (EEA) under 16 require parental or guardian consent under GDPR Article 8.
Users under 18 in Turkey require parental or guardian consent for biometric data processing under Turkish law.

2.2 Account Creation

You may create an account using a supported sign-in method.
You must provide accurate information and keep your credentials secure.
One account per person. Creating multiple accounts to exploit promotional offers is prohibited.
You are responsible for all activity under your account.

3. Description of the Service

NOIR is an AI-powered lifestyle photo generator. The Service includes:

3.1 AI Photo Generation: Upload a selfie, select a template or enter a custom prompt, and our AI generates a stylized image incorporating your likeness.

3.2 Template Library: A curated collection of templates across categories including Business, Luxury, Travel, Automotive, Interior, Daily, and more.

3.3 Template Packs: Themed bundles of templates that can be purchased with virtual coins.

3.4 Explore / Community Feed: A public feed where users may share their generated images. Other users can view and like shared content.

3.5 Social Sharing: Export and share generated images to third-party platforms (Instagram Stories, TikTok, etc.). Third-party platform terms apply independently.

3.6 Referral Program: Earn bonus coins by sharing your unique referral code.

3.7 Collections: Organize your generated images into custom collections within the App.

4. Virtual Currency (Coins)

4.1 Nature of Virtual Currency

Coins are a virtual, in-app currency used to access certain features within NOIR.

Coins have no real-world monetary value.
Coins cannot be exchanged, transferred, or redeemed for real currency, goods, or services outside the Service.
Coins are not your property. They constitute a limited, personal, non-transferable, revocable license to use a feature within the Service.

4.2 How Coins Are Acquired

Premium Subscription	Weekly coin allocation. Unused weekly coins do not roll over.
Referral Rewards	One-time reward per successful referral.
In-App Purchases	Coin packages purchased through Apple App Store or Google Play Store.

4.3 How Coins Are Spent

Each image generation costs a specified number of coins (as displayed in the App).
Template pack purchases cost either a pack-specific price or a per-template rate.

4.4 No Refunds

All coin purchases are final and non-refundable, except as required by applicable law or the refund policies of Apple/Google.
Deleting a generated image does not restore spent coins.
Coins have no cash value and cannot be cashed out.

4.5 Adjustment Rights

The Company reserves the right to modify coin pricing, allocation amounts, template costs, and promotional offers at any time without prior notice.

4.6 Forfeiture

Upon account termination or deletion, all coins are permanently forfeited.
Weekly subscription coins not used before the renewal date are lost.
The Company may revoke coins obtained through fraud or abuse.

5. Subscriptions and In-App Purchases

5.1 Subscription Plans

NOIR offers Weekly and Yearly subscription plans ("NOIR Premium"). Premium benefits include expanded generation access, priority processing, access to all templates, and Ultra HD downloads.

5.2 Auto-Renewal and Billing

Payment will be charged to your Apple ID or Google Play account at confirmation of purchase.
Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period.
Your account will be charged for renewal within 24 hours prior to the end of the current period.
Uninstalling the App does not cancel your subscription. You must cancel through your device's account settings.

5.3 Managing and Canceling Subscriptions

iOS: Settings > Apple ID > Subscriptions
Android: Google Play Store > Menu > Subscriptions
Cancellation takes effect at the end of the current billing period.

5.4 Free Trial

If offered, free trial details are displayed at the point of subscription.
Free trials are limited to one per Apple ID or Google account.
Any unused portion of a free trial is forfeited upon purchasing a subscription.

5.5 Right of Withdrawal (EEA and Turkey)

Users in the EEA and Turkey have a 14-day right of withdrawal for digital content. By starting to use Premium features, you may expressly consent to waive this right. For refund requests, contact Apple or Google directly.

5.6 Price Changes

The Company may change subscription pricing. Existing subscribers will be notified before changes take effect. You may cancel before the new price applies.

5.7 Third-Party Billing

Apple and Google handle all billing, payment processing, and refunds. The Company does not directly process payments or store payment card information.

6. AI-Generated Content and Intellectual Property

6.1 Your Input (Selfie)

You retain all ownership rights to photographs you upload. By uploading a selfie, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to process and transmit the photograph solely for the purpose of generating AI output within the Service.

6.2 AI-Generated Output

Your generated images are yours. The Company grants you a non-exclusive, worldwide, royalty-free license to use, download, display, reproduce, modify, and share AI-generated images for personal and commercial purposes, subject to the restrictions in Section 7.

You acknowledge that:

AI-generated content may not be eligible for copyright protection in all jurisdictions.
Identical or substantially similar images may be generated for other users using the same templates.
The Company makes no representations regarding the registrability of AI-generated outputs as copyrighted works.

6.3 Company Intellectual Property

All templates, template designs, prompt configurations, and the App itself (including its design, code, and branding) are the exclusive intellectual property of Vebilisim Teknoloji A.S. Templates may not be reverse-engineered, extracted, or reproduced.

6.4 Community Content License

When you share an image to the Explore feed, you grant the Company an additional license to display, distribute, and use the image within the Service and for promotional purposes. You may remove your content at any time. Other users may not download or claim ownership of your shared images.

6.5 AI-Generated Content Disclosure

In accordance with the EU AI Act (Article 50, effective August 2, 2026):

All images generated by NOIR are produced using artificial intelligence.
Generated images are marked as AI-generated in their metadata where technically feasible.
You are responsible for disclosing the AI-generated nature of images when required by applicable law.

7. Acceptable Use Policy

7.1 Prohibited Uses — AI Generation

You agree NOT to use NOIR to:

Create deepfakes or misleading impersonations of real individuals.
Use another person's likeness without their explicit, documented consent. You must only use your own photographs.
Generate likenesses of real individuals (including public figures) without documented consent.
Create NSFW, explicit, or pornographic content.
Generate violent, hateful, or discriminatory content.
Create content depicting child exploitation of any kind. This will be reported to law enforcement.
Generate content for fraud or deception, including identity theft, scams, or forgery.
Present AI-generated images as authentic photographs in contexts where this could cause harm.
Circumvent content moderation through any evasion technique.

7.2 Prohibited Uses — Community / Explore Feed

Sharing content that violates Section 7.1.
Spam, repeated posting, or commercial advertising.
Harassment or targeting of other users.
Content that infringes third-party intellectual property rights.

7.3 Prohibited Uses — General

Reverse engineering, decompiling, or disassembling the App or its AI models.
Using automated means (bots, scrapers) to access the Service.
Exploiting bugs or vulnerabilities in the App or coin system.
Creating multiple accounts to abuse promotional offers.
Sharing, selling, or transferring account access or coins.
Using the Service for any purpose that violates applicable laws.

7.4 Content Moderation and Enforcement

The Company employs automated and manual content moderation and reserves the right to reject any generation request or remove any shared content. Violations may result in warning, suspension, permanent ban, forfeiture of coins, and/or referral to law enforcement.

8. User Data, Privacy, and Biometric Information

8.1 Privacy Policy

Your use of the Service is governed by our Privacy Policy at docs.prismindmedia.com/noirai/privacy-policy.

8.2 Biometric Data Summary

The Service collects and processes facial photographs (selfies) using on-device face detection, cloud-based AI generation, and optional server-side quality validation.

Facial data processing is performed solely for delivering the Service. Your facial data is not used for facial recognition, identity verification, surveillance, or any purpose other than AI image generation.

8.3 Account Deletion

You can delete your account and all associated data through Settings > Account Settings > Delete Account. For details, refer to Section 11 of our Privacy Policy.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 AI Output Disclaimers

AI-generated images may contain imperfections, artifacts, distortions, or inaccuracies. The Company does not guarantee specific outcomes or quality levels.
The Company does not guarantee that AI outputs will be accurate, flattering, or suitable representations of you.
Generation times are estimates and may vary.
Custom prompts (Quick Create): When you enter a custom text prompt, the resulting image is generated based on your input. The Company is not responsible for the content, nature, or suitability of images generated from user-submitted prompts. You bear full responsibility for the prompts you submit and the resulting outputs.
No content guarantee: AI technology may produce unexpected, unintended, or undesirable results. The Company acts as a technology intermediary and does not review, approve, or endorse individual AI-generated outputs.
AI limitations: The Company does not warrant that AI-generated content will be free from errors, biases, or artifacts inherent to current AI technology.

9.3 Service Availability

The Service requires an active internet connection and may be unavailable during maintenance or due to third-party service disruptions beyond our control.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

The Company's total aggregate liability shall not exceed the amount you paid to the Company in the 12 months preceding the claim, or 50 USD, whichever is greater.
The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, emotional distress from AI outputs, or damages arising from reliance on AI-generated images.

9.5 Consumer Protection

Nothing in these Terms limits or excludes liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, and mandatory consumer protection rights under Turkish law, EU law, or your local jurisdiction.

9.6 Indemnification

You agree to indemnify the Company from any claims, damages, or expenses arising from your misuse of generated content, violation of these Terms, infringement of third-party rights, or any use of generated images that causes harm.

10. Account Suspension and Termination

10.1 Termination by User

You may terminate your account at any time (Settings > Account Settings > Delete Account). Active subscriptions must be canceled separately through Apple/Google settings.

10.2 Termination by Company

The Company may suspend or terminate your account for Terms violations, suspected fraud, legal requirements, extended inactivity (12+ months), or at its sole discretion with reasonable notice.

10.3 Effect of Termination

All coins are permanently forfeited. Access is revoked. Download desired images before deleting your account. The license to already-downloaded AI-generated content (Section 6.2) survives termination. Subscription fees are not refundable (subject to Apple/Google policies).

11. Referral Program

Each user receives a unique referral code. Bonus coins are earned when a referred user signs up and generates their first image.
Self-referral and fake accounts are prohibited and detectable.
The Company may modify or discontinue the referral program at any time.

12. Third-Party Services

The Service relies on third-party providers for AI generation, content moderation, and other functionalities. These providers have their own terms and privacy policies. The Company is not responsible for third-party actions, availability, or performance.

Sharing content to Instagram, TikTok, and other platforms is subject to those platforms' terms. The App is distributed through Apple App Store and Google Play Store, and those platforms' terms apply accordingly.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Republic of Turkey.

13.2 Jurisdiction

The courts of Istanbul, Republic of Turkey shall have exclusive jurisdiction.

13.3 Consumer Protection Rights

Turkey: Turkish consumer courts have jurisdiction regardless of contractual provisions.
European Union: EU users retain the right to bring claims in their country of residence per EU Regulation 1215/2012.

13.4 Informal Resolution

Before formal action, contact info@prismindmedia.com to attempt resolution within 30 days.

14. Changes to These Terms

Material changes will be communicated via in-app notification and/or email. Continued use after the effective date constitutes acceptance. If you disagree, discontinue use and delete your account.

15. Apple App Store and Google Play Store Provisions

15.1 These Terms are between you and Vebilisim Teknoloji A.S., not Apple or Google.

15.2 The license is limited to use on devices you own or control, per Apple/Google usage rules.

15.3 The Company, not Apple or Google, is solely responsible for maintenance, support, and product claims.

15.4 In the event of warranty failure, Apple users may notify Apple for a refund. Apple/Google have no further warranty obligation.

15.5 The Company is responsible for all intellectual property claims.

15.6 You represent that you are not located in a U.S.-embargoed country or on any restricted parties list.

15.7 Apple Inc. and Google LLC are third-party beneficiaries of these Terms.

15.8 In conflicts between these Terms and Google Play Terms, Google Play Terms prevail for Google Play usage.

16. Miscellaneous

16.1 Severability: Invalid provisions do not affect the remainder.

16.2 Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement.

16.3 Waiver: Non-enforcement does not constitute waiver.

16.4 Assignment: The Company may assign; you may not.

16.5 Force Majeure: The Company is not liable for failures beyond reasonable control.

16.6 Language: English governs in case of discrepancy.

16.7 Notices: Via in-app notifications, email, or app updates.
